(NASDAQ: VMAR) (“Vision Marine” or the “Company”) today announced financial results for the fiscal year ended August 31, 2025, underscoring a year of significant commercial expansion driven by the acquisition of Nautical Ventures Group Inc. (“Nautical Ventures”), recognized by Boating Industry magazine as the 2024 Boating Industry Top 100 Dealer of the Year and a leading dealership network in Florida, the capital of U.S. recreational boating.

The acquisition marked a turning point in Vision Marine’s market presence, providing direct access to one of the most active marine regions in North America and opening new avenues for growth across retail, services, and electric product integration. Between the date of acquisition on June 20, 2025, and the end of Vision Marine’s fiscal year on August 31, 2025, Nautical Ventures generated US$12.8 million in revenue and US$4.7 million of gross profit, representing a gross profit percentage of 36.8%. The distribution announced today is payable on December 31, 2025, has a record date of December 15, 2025, and has an ex-date of December 15, 2025.

The Fund currently intends to make regular monthly cash distributions to holders of its common stock at a fixed rate per share, to be determined based on the projected net rate of return of the Fund’s investments as well as other factors, subject to ongoing review and adjustment from time to time.  The Fund currently intends to pay its regular monthly distributions out of its distributable cash flow, which generally consists of (1) cash and paid-in-kind distributions from master limited partnerships (“MLPs”) or their affiliates, dividends from common stocks, interest from debt instruments and income from other investments held by the Fund less (2) current or accrued operating expenses, including leverage costs, if any, and taxes on its taxable income.

TOP Ships Announces Letter of Intent for Acquisition of Real Estate Assets in Dubai

ATHENS, Greece, Nov. 28, 2025 (GLOBE NEWSWIRE) — TOP Ships Inc. (the “Company” or “TOP Ships”) (NYSE American:TOPS), an international owner and operator of modern, fuel-efficient “ECO” tanker vessels, announced today that it has entered into a letter of intent for the potential acquisition of certain residential real estate assets in Dubai from a company affiliated with Mr. Evangelos J. Pistiolis, the Company’s President and Chief Executive Officer. Under the letter of intent, TOP Ships has been granted an exclusive right and an option to acquire all or a portion of a portfolio of assets with an estimated aggregate market value in excess of $200 million. In the Company’s view, Dubai is one of the world’s most attractive real estate markets, supported by strong global investor confidence, transparent regulations, and a resilient, high-growth economy.

The purchase price on exercise of the option with respect to any of the properties will be at a 10% discount to fair market value as determined by two independent appraisals. Prior to December 31, 2025, TOP Ships will make an advance cash payment of $23.5 million to be credited against the acquisition price or refunded to the extent the Company does not elect to exercise the purchase option. The option period expires 90 days following this advance payment.

Each Fund has adopted a distribution policy to provide investors with a stable distribution out of current income, supplemented by realized capital gains and, to the extent necessary, paid-in capital.

Under applicable U.S. tax rules, the amount and character of distributable income for each Fund’s fiscal year can be finally determined only as of the end of the Fund’s fiscal year. However, under Section 19 of the Investment Company Act of 1940, as amended (the “1940 Act”) and related rules, the Funds may be required to indicate to shareholders the estimated source of certain distributions to shareholders.

The following tables set forth the estimated amounts of the sources of the distributions for purposes of Section 19 of the 1940 Act and the rules adopted thereunder.
