Linkage Global Inc. Announces $1 Million Private Placement Financing to Support Strategic Growth and Operational Expansion

TOKYO, JAPAN, Nov. 26, 2025 (GLOBE NEWSWIRE) — Linkage Global Inc (NASDAQ: LGCB) (“Linkage Global” or the “Company”), a cross-border e-commerce integrated services provider headquartered in Japan, is pleased to announce the pricing of a private investment in public equity (the “PIPE”) financing. On November 24, 2025, the Company entered into a securities purchase agreement pursuant to which it will issue and sell an aggregate of 689,655 Class A Ordinary Shares to an investor at a price of US$1.45 per share. The offering will result in total gross proceeds of approximately US$1,000,000 before deducting fees and offering expenses payable by the Company.

Subject to customary closing conditions, the PIPE is expected to close on or before December 3, 2025. The securities will be sold in a private placement pursuant to Regulation S under the Securities Act of 1933, as amended (the “Securities Act”). The shares have not been registered under the Securities Act and may not be offered or sold in the United States absent registration with the U.S. Securities and Exchange Commission (the “SEC”) or an applicable exemption from such registration requirements. The Company has agreed to file a registration statement with the SEC to register the resale of the Class A Ordinary Shares issued in this offering.

(NYSE: BMA; BYMA: BMA) (“Banco Macro” or “BMA” or the “Bank”) announced today its results for the third quarter ended September 30, 2025 (“3Q25”).  All figures are in Argentine pesos (Ps.) and have been restated in terms of the measuring unit current at the end of the reporting period. For ease of comparison, figures of previous quarters of 2024 have been restated applying IAS 29 to reflect the accumulated effect of the inflation adjustment for each period through September 30, 2025.

Summary

  • IN THE FIRST 9 MONTHS OF 2025 (“9M25”) THE BANK’S NET INCOME totaled Ps.176.7 billion. This result was 35% or Ps.95.2 billion lower than the result posted in the same period of last year. As of 3Q25, the accumulated annualized return on average equity (“ROAE”) and the accumulated annualized return on average assets (“ROAA”) were 4.5% and 1.3%, respectively.
  • In 9M25, OPERATING INCOME (after G&A and personnel expenses) totaled Ps.1.03 trillion, 64% or Ps.1.84 trillion lower than in 9M24.

Univest Securities, LLC Announces Closing of $8.0 Million Registered Direct Offering for its Client MingZhu Logistics Holdings Limited (NASDAQ: YGMZ)

New York, Nov. 26, 2025 (GLOBE NEWSWIRE) — Univest Securities, LLC (“Univest”), a member of FINRA and SIPC, and a full-service investment bank and securities broker-dealer firm based in New York, today announced the closing of a registered direct offering (the “Offering”) of $8.0 million for its client MingZhu Logistics Holdings Limited (NASDAQ: YGMZ) (the “Company”), an elite provider of logistics and transportation services to businesses.

Under the terms of the securities purchase agreement, the Company has agreed to sell to certain institutional investors an aggregate of 8,000,000 units (each, a “Unit”), consisting of one ordinary share of the Company, par value $0.128 per share (each, an “Ordinary Share”), or in lieu thereof, a pre-funded warrant, and one common warrant (each, a “Warrant”), at a purchase price of $1.00 per Unit in a registered direct offering. The purchase price for the pre-funded warrants is identical to the purchase price for Ordinary Shares, less the exercise price of $0.128 per share. Each of the Warrants will have an exercise price of $1.00 per Class A Ordinary Share, will be immediately exercisable upon issuance, and will expire on the six-month anniversary of the issuance date.

In December 2011, the Fund implemented a managed distribution policy in accordance with exemptive relief issued by the Securities and Exchange Commission. The managed distribution policy seeks to deliver the Fund’s long-term total return potential through regular monthly distributions declared at a fixed rate per common share. The policy gives the Fund greater flexibility to realize long-term capital gains throughout the year and to distribute those gains on a regular monthly basis to shareholders.
