Boxlight Announces Pricing of $2.8 Million Private Placement Priced At-the-Market Under Nasdaq Rules

DULUTH, Ga.–(BUSINESS WIRE)–
Boxlight Corporation (Nasdaq: BOXL) (the “Company or “Boxlight”), a globally recognized leader in educational technology, today announced that it has entered into securities purchase agreements for the purchase and sale of 1,323,000 shares of its Class A common stock (the “Common Stock”) (or Common Stock equivalents in lieu thereof) and warrants to purchase up to 1,323,000 shares of Common Stock (the “Warrants”) in a private placement priced at-the-market under Nasdaq rules. The combined purchase price of each share of Common Stock (or Common Stock equivalent in lieu thereof) together with the accompanying Warrant is $2.13. The Warrants will have an exercise price of $2.13 per share, will be exercisable six months following the date of issuance and will expire five and a half years from the date of issuance.

The closing of the private placement is expected to occur on or about February 21, 2025, subject to the satisfaction of customary closing conditions. The gross proceeds from the private placement are expected to be approximately $2.8 million. The Company intends to use the net proceeds from the private placement for working capital and general corporate purposes.

A.G.P./Alliance Global Partners is acting as the sole placement agent for the private placement.
