Walker & Dunlop Launches $400 Million Senior Unsecured Notes Offering and Amendment and Extension of its Senior Secured Term Loan Agreement
BETHESDA, Md.–(BUSINESS WIRE)–
Walker & Dunlop, Inc. announced today that it intends to offer $400 million aggregate principal amount of senior unsecured notes due 2033 in a private placement that is exempt from the registration requirements of the Securities Act of 1933, as amended (“Securities Act”). The notes will be guaranteed on a senior unsecured basis by certain of the Company’s subsidiaries.
Concurrently with the closing of the notes offering, the Company intends to amend and restate its senior secured term loan agreement (together with the notes offering, the “transactions”) to reduce the amount of outstanding senior secured term loans to $450 million, extend the maturity date of the term loan agreement to 2032, and provide for a three-year $50 million revolving credit facility.
The Company intends to use the proceeds from the transactions to reduce the outstanding principal amount under the existing senior secured term loan agreement, together with accrued and unpaid interest thereon, to pay related fees and expenses and for general corporate purposes. The closing of the transactions is subject to market and other customary conditions.
The notes have not been and will not be registered under the Securities Act, or the securities laws of any state or other jurisdiction, and may not be offered or sold in the United States or to U.S. persons absent registration or an applicable exemption from such registration requirements. Accordingly, the notes are being offered and sold only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act, and to certain non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.
